1. GENERAL
Unless explicitly agreed in writing by Sofeast Limited (hereafter called “Sofeast”), all services provided by Sofeast to you (hereafter called “client/s”) are governed by the following conditions of service, which prevail over any purchase terms and conditions. These terms and conditions shall be governed by and construed under Hong Kong Law.
2. CLIENT COOPERATION
Clients should give enough advance notice (>= 2 days), and include all relevant information and samples. Note that sending us the information in the afternoon London time means that we get it the next day due to the time difference!
Clients should ensure that Sofeast’s staff can perform its activities in good order – including securing their access to the facilities and ensuring the additional personnel/equipment are fully available (if needed). In particular, if specific equipment is needed, to ensure Sofeast technicians are available. If you have questions, please contact us to discuss your specific case.
3. LATE CANCELLATIONS (typically for on-site services)
If a service is cancelled late (client informs sofeast <1 full working day in advance), Sofeast will bill the client a cancellation fee ($100/man-day+ any engaged travel expenses).
4. PAYMENT TERMS
Clients should pay within 7 days after receiving the invoice. For late payments, Sofeast will apply an additional 2% per month to the invoice cost of the due payment (except if agreed in writing with the client).
The client agrees to bear all the bank fees for transfers and an extra 7.5% for PayPal payments. We have added extra ways to pay us, please inquire if you’d like to know your options.
5. CAP ON LIABILITY
Sofeast only accepts liability for our own mistakes or negligence.
For a product inspection service, Sofeast’s liability doesn’t exceed 10 times the single service price, and, in addition, Sofeast shall only be liable if all the following conditions are true: (1) at least 80% of products were fully packed before our inspection; (2) there was only 1 product type in the lot (no combined sample); (3) the claim is notified by mail to Sofeast within 3 months of the service performance.
For other types of services, Sofeast’s liability doesn’t exceed 1 time of the single service price.
6. OTHER IMPORTANT TERMS
Sofeast agrees to ensure all the client’s product information is kept strictly confidential. The client agrees not to hire any Sofeast employee while Sofeast is performing services or within 3 years after termination of these services. If the client breaks this agreement, Sofeast is entitled to seek injunctive relief against the client.
